Terms of Service

1. Definitions

• "Add-on" means the Sheetminer Google Sheets add-on.
• "Service" means the Sheetminer SaaS offering (including the Add-on, associated websites, and related features) that helps extract data from Documents and populate Google Sheets.
• "You" means the individual or entity using the Service.
• "Content" means all data and materials you (or your authorized users) submit to, upload to, or otherwise make available to the Service.
• "Documents" means the files, images, PDFs, scans, and other source materials included in Content for the purpose of extraction.
• "Output" means extracted or generated data produced by the Service (including AI-assisted results) based on your Content.
• "Sub-processors" means third-party service providers we use to process Content on our behalf to provide the Service (for example, infrastructure or AI processing providers).
• "Prohibited Content" means Content that (a) is unlawful, fraudulent, or violates applicable regulations; (b) infringes intellectual property or other rights of others; (c) contains malware or is intended to disrupt systems or networks; (d) includes sensitive personal data (such as financial account credentials, government IDs, or special category data) without a lawful basis and appropriate protections; or (e) violates Google policies applicable to the Add-on or your Google account.

2. The Service

Sheetminer provides a SaaS tool designed to extract data from documents (such as invoices) and populate Google Sheets. The service includes features for referencing source documents and viewing extracted areas for audit verification.

3. Privacy

Our collection and use of personal data (if any) is described in our Privacy Policy, which is incorporated by reference into these Terms. By using the Service, you also agree to the Privacy Policy.

4. User Responsibilities

• Authority: You must have the legal right to process the documents you upload or select.
• Account Security: You are responsible for maintaining the security of your Google account credentials.
• Permitted Use: You agree not to use the Service for any illegal purposes, to process Prohibited Content, or to violate Google policies applicable to the Add-on or your Google account.
• Compliance: You are responsible for complying with laws and regulations applicable to your use of the Service, including any obligations you have regarding notices, consents, and data protection.

5. Content Ownership, License, and Processing

• Your Content: You retain full ownership of all documents and data processed through Sheetminer.
• Limited License: You grant Sheetminer and our Sub-processors a temporary, limited license to access, process, transmit, and store your Content solely to provide, secure, and improve the Service.
• Sub-processors: We use Sub-processors to help provide the Service (for example, hosting, analytics, billing, and AI processing). Our Sub-processors may include Google Cloud Platform (GCP), Microsoft Azure, PostHog, and Stripe (or another payment provider). For additional details and updates, see the Privacy Policy.
• Third-Party Services: The Service integrates with Google products (such as Google Sheets and Google Drive). Your use of Google services is governed by Google's terms, and Sheetminer is not responsible for third-party services.

6. AI Output, Accuracy, and Verification

• No Guarantee of Accuracy: The Service uses automated processing, including AI. Output may contain inaccuracies, errors, or omissions.
• Audit Requirement: The Service is designed as an "assistive tool." You are responsible for reviewing and validating Output (including by using built-in verification features) before relying on it.

7. Fees and Payment

Subscription fees are billed in advance. We reserve the right to change our pricing upon reasonable notice.

8. Right of Withdrawal (Cooling-Off Period)

If you are a consumer in the EU/EEA, you have the right to cancel your subscription within 14 days of purchase, without giving any reason. To exercise this right, contact us at support@sheetminer.app with a clear statement of your decision to cancel.

If you request that the Service begins during the 14-day cooling-off period (for example, by immediately using the Service after subscribing), you acknowledge that you may lose your right of withdrawal once the Service has been fully performed. If you cancel before full performance, we will refund a proportionate amount based on the service not yet provided.

We will process any refund due without undue delay, and in any event within 14 days of receiving your cancellation notice, using the same payment method you used for the original transaction.

9. Suspension and Termination

• Your Right to Stop Using the Service: You may stop using the Service at any time. If you have a paid subscription, cancellation will take effect at the end of the current billing period unless otherwise stated at purchase.
• Our Right to Suspend or Terminate: We may suspend or terminate your access to the Service (in whole or in part) if (a) you breach these Terms; (b) we reasonably believe your use poses a security risk, causes harm, or involves Prohibited Content; (c) required to comply with law, regulation, court order, or requests from regulators; (d) you fail to pay fees when due; or (e) to comply with Google policies or platform requirements.
• Notice: Where reasonably practicable, we will provide notice of suspension or termination and an opportunity to remedy the issue. We may suspend immediately without notice if necessary to protect the Service, other users, or third parties.
• Effect on Access and Data: Upon termination, your right to access the Service ends. Data retention and deletion are described in Section 10.

10. Data Retention and Deletion

• Retention: We retain Content only for as long as reasonably necessary to provide the Service, meet our legal obligations, resolve disputes, enforce these Terms, and maintain security and backups.
• Service Processing: In general, document content is processed temporarily to provide extraction and is deleted after processing, while certain metadata and audit information may be retained for verification and security purposes.
• Deletion Requests: You may request deletion of your Content by contacting support. We will make commercially reasonable efforts to delete Content from active systems within a reasonable time, subject to legal requirements and standard backup retention.
• Backups and Logs: Copies of Content may remain in backups or logs for a limited period for security, compliance, and disaster recovery, and will be deleted in the ordinary course.

11. Disclaimer of Warranties

To the maximum extent permitted by law, the Service is provided on an "as is" and "as available" basis. Sheetminer disclaims all warranties, whether express, implied, statutory, or otherwise, including any implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or that Output will be accurate or complete.

12. Limitation of Liability

• General Limitation: To the maximum extent permitted by law, Sheetminer Limited shall not be liable for any indirect, incidental, special, or consequential damages, including but not limited to loss of profits, data, or business opportunities.
• AI and Accuracy: You acknowledge that the Service uses automated processing, including AI, and that Output may be inaccurate. You are solely responsible for verifying Output before relying on it.
• Liability Cap: To the maximum extent permitted by law, Sheetminer's total aggregate liability arising out of or relating to these Terms or the Service will not exceed the total fees paid (if any) by you to Sheetminer for the Service in the twelve (12) months immediately preceding the event giving rise to the claim. If you have not paid any fees during that period, our total aggregate liability will not exceed €100.

13. Indemnification

You will indemnify and hold harmless Sheetminer, its officers, directors, employees, and agents from and against any claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or relating to: (a) your Content (including Documents), including any allegation that your Content infringes or misappropriates third-party rights; (b) your use of the Service in violation of these Terms, applicable law, or Google policies; or (c) your negligence or willful misconduct.

14. Changes to These Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice (for example, by posting the updated Terms and updating the "Last updated" date). Your continued use of the Service after the effective date of the updated Terms constitutes acceptance.

15. Governing Law

These Terms are governed by and construed in accordance with the laws of Ireland. Any disputes shall be subject to the exclusive jurisdiction of the Irish courts.

Nothing in these Terms affects your statutory rights as a consumer, including the right to bring proceedings in the courts of your member state of residence.

16. Ordering Process and Contract Formation

• Steps to Conclude the Contract: To use the Service, you install the Add-on from the Google Workspace Marketplace and sign in with your Google account. If you choose a paid plan, you select a subscription and complete payment through our checkout process. The contract is formed when you complete these steps.
• Contract Storage: We do not separately file the concluded contract. You can access these Terms at any time at /terms. We recommend saving or printing a copy for your records.
• Language: These Terms and the Service are available in English.
